This letter is in response to the February 16, 2010 comment letter from the staff of the Securities and Exchange Commission (the Commission) to Michael J. Gasser, Chairman and Chief Executive Officer of Greif, Inc. (the Company), with respect to the subject filing.
For convenience, each comment contained in the February 16 letter is repeated followed by the Companys response. The Company believes that the following information responds fully and completely to each of the comments in the February 16 letter.

ANSWER: Please be advised that the agreements referenced as exhibits 10(r) and 10(y) were terminated in December 2008. Accordingly, the Company respectfully submits that the filing of these schedules and exhibits are not necessary, as those agreements are no longer material to stockholders. | |||

For the three-year performance period ending in fiscal year 2010, the target level of level of performance goals for earnings per share, as adjusted for special items, and operating cash flows were $[*] and $[*], respectively, which would result in a 100% payout of each individual Named Executive Officers award potential. For Mr. Gasser the award potential was [*]% of his base salary, for Mr. Huml the award potential was [*]% of his base salary, for Mr. Fischer the award potential was [*]% of his base salary, and for each of Messrs. At the December 2010 meeting, the Special Subcommittee also certified the extent to which the performance goals under the Long Term Incentive Plan had been achieved for the three-year performance period ended in fiscal year 2010.
